Terms and Conditions for PARAVEGA

1. Introduction

Welcome to PARAVEGA ("Service", "we", "our", "us"). These Terms and Conditions ("Terms") govern your access and use of our lighting control software designed for venues, architecture, clubs, concerts, and other applications ("Software"). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. License and Use

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service in accordance with these Terms. You may not resell, sublicense, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software. Unauthorized copying, distribution, or modification of the Service is strictly prohibited. Unauthorized use or modification of the Service may result in termination of your access. Perpetual software licenses include software updates and support for one (1) year from the date of purchase. After this period, continued updates and support require a separate renewal or subscription.

3. Client Software Activation and Licensing

In addition to the general licensing terms above, the downloadable client software ("Client") is subject to the following conditions:

Activation Requirement: The Client requires online activation before it can be used.

Activation Limits: A license may only be activated on a limited number of machines simultaneously, depending on the license type purchased.

Machine Binding: Each activation binds the license to the specific machine on which it is activated.

Revocation: Activations can be revoked by contacting support at [email protected], but revocation requests take up to 24 hours to complete. Only one revocation request per license may be active at any given time.

User-Specific: Licenses and activations are strictly personal. They may not be shared, transferred, or used by multiple individuals.

Organizational Use: If a purchase is made under an organization profile, licenses may be transferred between users within the same organization, but may not be transferred or shared outside the organization.

Misuse and Piracy: Any attempt at illegal redistribution, re-licensing, or piracy will result in immediate termination of the license and any associated user accounts or profiles, without refund.

3. Service Availability and Disclaimers

We strive to provide a reliable Service but do not guarantee uninterrupted operation or error-free performance. The Service may experience downtime, maintenance periods, or unforeseen issues. We disclaim all warranties, express or implied, including but not limited to fitness for a particular purpose, accuracy, and reliability. Users should have contingency plans in place for critical applications.

4 Beta Software

Certain licenses or versions of the Software may be sold as Beta. Beta software is considered pre-release and may include incomplete, partially implemented, or unstable features. By purchasing a Beta version, you acknowledge and accept that:

  • Some features may not be fully functional or may be missing.
  • The Software may contain bugs or unexpected behavior.
  • Beta versions are provided for testing, feedback, and early access purposes.

Beta licenses are clearly marked as "Beta" in the product/offer description, and no additional guarantees or warranties apply beyond those stated in these Terms.

5. Limitation of Liability

Under no circumstances shall PARAVEGA, its owners, employees, or affiliates be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or in any way related to the use or inability to use the Service. This includes, but is not limited to, damages for loss of profits, operational disruption, reputational harm, or any other business impact caused by errors, malfunctions, or service unavailability. You assume all risks associated with using the Service, including any impact on live events, venues, or performances. You acknowledge that proper planning, backup systems, and operational safeguards are necessary to mitigate risks.

6. User Responsibilities

You acknowledge that the Software is a tool to assist with lighting control, but ultimate responsibility for setup, operation, and contingency planning lies with you. You must ensure appropriate safeguards, backup solutions, and fail-safes are in place. You are also responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and venue-specific safety requirements.

7. Indemnification

You agree to indemnify, defend, and hold harmless PARAVEGA and its affiliates from any claims, losses, damages, liabilities, costs, and expenses arising from your use of the Service, including third-party claims related to events or venues relying on the Software. This includes legal fees and costs incurred due to any disputes related to your use of the Service.

8. Data and Privacy

We respect your privacy and handle your data in accordance with our Privacy Policy, which complies with applicable EU regulations, including the General Data Protection Regulation (GDPR). By using the Service, you consent to the collection, use, and storage of your data as described in the Privacy Policy. We take reasonable measures to protect your data but do not guarantee complete security. For more detailed information, please refer to our Privacy Policy.

9. Subscription and Payment

The Service may be offered on a subscription basis. Fees, billing cycles, and payment terms will be outlined in a separate agreement or within the Service interface. Failure to make timely payments may result in suspension or termination of access to the Service. No refunds will be provided except as required by law.

10. Refunds

We recommend using our free online version of the Software before making a purchase to ensure it meets your needs. Refunds are only available under the following conditions:

  • A refund request must be made by contacting [email protected].
  • Refunds are only available for licenses that have not yet been activated.
  • Refund requests must be submitted within 14 days of purchase.
  • Once a license has been activated, it is non-refundable.

Refunds will be processed in accordance with applicable consumer protection laws.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. Notification of significant changes may be provided via email or through the Service interface.

12. Termination

We reserve the right to suspend or terminate your access to the Service at our discretion, with or without cause. Termination may occur if you violate these Terms, fail to make required payments, or engage in any conduct that harms our reputation or disrupts the Service for other users.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Denmark and applicable European Union regulations. Any disputes shall be resolved in the courts of Denmark.
